William Rosenstadt, Esq
William Rosenstadt, Esq, is Chief Legal Counsel and a Partner at CBCC. Bill is deeply experienced in all types of public and private offerings, federal securities law compliance, venture capital financings, and international merger and acquisition transactions. He has worked on multiple cross-border transactions and taken companies public in the U.S. and European markets. He works with entrepreneurs, public companies, hedge funds, private equity funds and other corporate entities on complex international and corporate transactions as well as EB-5 immigration matters utilizing both direct investment and regional centers. William commenced his career by clerking for the honorable James L. Garrity in the United States Bankruptcy Court for the Southern District of New York. Subsequently, William became general counsel to a private-equity firm specializing in small/mid-cap leveraged buyouts where he was responsible for all aspects of the company’s transactions. He is a founding partner Ortoli Rosenstadt LLP and head of the firm’s capital markets and securities practice as well as co-chair of the firm’s Asian practice. . In addition to his law practice, Since 2015 William has been an Adjunct Professor of Law at Benjamin N. Cardozo School of Law teaching Contract Negotiation and Drafting. He finds a tremendous satisfaction in working with the lawyers of tomorrow to further hone their drafting and reasoning skills.
J. Michael Andrews
J Michael Andrews is an Operating Executive with broad experience across industrial manufacturing, industrial services, food and beverage, value-add distribution and cannabis industries with specific expertise in specialty and outsourced manufacturing. His career has been spent navigating Teams through high-stress situations (turnarounds & rapid expansions). The roles he has filled include Member of Global Operating Committee and SEC registered insider of a Fortune 500 company, CEO / Board positions with various private businesses and Managing Partner of a private investment firm he founded. Michael is the former Executive Vice President of General Cable Corporation, a Fortune 500 Company, and President of General Cable’s Energy and Infrastructure Group, a portfolio of nine businesses generating $1.4 billion in annual revenue. He was part of the Senior Management Team that took General Cable from $1.45 Billion to $6.5 Billion in revenue and their stock from $3.00 to $80.00. He also led international mergers and acquisitions and global asset investment planning closing on several transactions in excess of $2 billion in annual revenue, including the acquisition of Phelps Dodge Wire and Cable, a company with operations in ten countries on four continents, and managing $80 million in annual capital expenditures respectively. Michael brings 25 years of experience in portfolio business management and mergers and acquisitions to his clients, where he holds various C-Level positions and Board roles. He is Founder and Managing Partner of Hawkstone Capital Group a private investment firm aligning Founder Owners with Operating Executives in a majority stake buyouts. Michael holds a Bachelors of Business Administration in Management and Operations and a Masters of Business Administration in Finance and Marketing from the Carl H Lindner College of Business at the University of Cincinnati.
